Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Propaired platform operated by Propaired AI, Inc. ("Propaired," "we," "us," or "our"), including the website at propaired.ai and all associated subdomains and mobile applications.

By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use the platform.

1. Description of Service

Propaired is an AI-powered real estate platform that provides:

Property search — AI-powered natural language search of licensed MLS listings in Utah.
Realtor tools — CRM, AI email generation, public profile pages, and client management.
Consumer tools — Saved searches, listing alerts, and agent discovery.

We reserve the right to modify, add, or remove features at any time.

2. Eligibility

To create an account, you must:

Be at least 18 years of age.
Be a human (no bots or automated accounts).
Provide accurate registration information.
Have legal authority to agree to these Terms.

Realtor accounts additionally require a valid, active Utah real estate license for MLS data access features.

3. Account Responsibilities

You are responsible for:

Maintaining the confidentiality of your password.
All activity that occurs under your account.
Promptly notifying us of unauthorized access at security@propaired.ai.

You may not share your account credentials with others or create accounts on behalf of others without authorization.

4. Realtor Data Ownership

Your client data belongs to you. Specifically:

All client records, contact information, notes, and CRM data you create within Propaired remain your property.
We do not share your client data with other realtors, competing agents, or brokerages — under any circumstances.
We do not sell client data from your CRM to third parties.
We do not use your client records to populate leads for other agents on the platform.

Data Portability

You may export all your CRM data at any time:

Navigate to Account Settings → Data Export to download a CSV or JSON of all client records.
Exports are available at any time with no restrictions.
If you cancel your account, you have 30 days to export your data before it is permanently deleted.

We are custodians of your data, not owners.

5. MLS Data License Terms

Property listing data displayed on Propaired is licensed from utahrealestate.com (Wasatch Front Regional Multiple Listing Service). Your use of MLS data is subject to the following terms:

Permitted Use

View property listings for personal real estate search purposes.
Save listings to your account for your personal reference.
Share individual listing links with others for non-commercial purposes.

Prohibited Use

Scraping — automated extraction of listings or listing data via bots, scripts, or crawlers.
Redistribution — publishing, displaying, or distributing MLS data on any website, app, or service other than Propaired.
Commercial use — using MLS data to build competing products, services, or databases.
Bulk download — systematic downloading of listings beyond normal browsing behavior.
Data aggregation — combining MLS data with other datasets for resale or redistribution.

Violations of MLS license terms may result in immediate account termination and potential legal liability.

Accuracy Disclaimer

MLS data is provided by listing brokers and updated periodically. Propaired makes no warranty as to the accuracy, completeness, or timeliness of listing information. Always verify listing details directly with the listing broker before making any real estate decisions.

6. Acceptable Use

You agree not to use Propaired to:

Violate any applicable law or regulation.
Impersonate any person or entity.
Upload malicious code or attempt to compromise platform security.
Harass, threaten, or harm other users.
Circumvent any access controls or authentication mechanisms.
Collect or harvest user data without consent.
Use the platform to send unsolicited commercial messages (spam).
Build a competing product using Propaired's platform, AI outputs, or MLS data.

We reserve the right to suspend or terminate accounts that violate these terms.

7. AI Features — Disclaimers

Propaired uses AI to provide features including natural language property search, email generation, profile writing assistance, and client recommendations. By using these features:

AI outputs are suggestions only. They do not constitute professional real estate, legal, financial, or tax advice.
You are responsible for verifying AI outputs before using them in professional communications or real estate transactions.
AI-generated email content should be reviewed and edited by the realtor before sending to clients.
Property recommendations are based on stated preferences and are not guarantees of suitability.
We do not warrant that AI outputs are accurate, complete, or appropriate for any specific purpose.

Real estate professionals remain responsible for compliance with all applicable laws, MLS rules, NAR Code of Ethics, and state licensing requirements regardless of AI assistance used.

8. Intellectual Property

Our IP

The Propaired platform, brand, software, UI design, and all AI models remain the exclusive property of Propaired AI, Inc. These Terms do not grant you any ownership rights in the platform.

Your Content

You retain ownership of content you create on the platform, including your realtor profile content, bio, and CRM data. By publishing a public realtor profile, you grant Propaired a limited, non-exclusive license to display that content on propaired.ai and in search engine indexing for the purpose of your profile being discovered.

MLS Data

MLS property listing data remains the property of utahrealestate.com and the respective listing brokers. Propaired licenses this data; we do not own it and cannot sublicense it to users beyond the permitted uses described in Section 5.

9. Privacy

Your use of Propaired is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you agree to the data practices described in the Privacy Policy.

10. Payments and Subscriptions

Propaired offers subscription plans for realtor accounts. By subscribing:

You authorize recurring charges to your payment method on the billing cycle selected.
Subscription fees are non-refundable except as required by applicable law or as described in our refund policy.
You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
We reserve the right to change subscription pricing with 30 days' written notice.

Free-tier features available to registered users are provided at our discretion and may be changed or removed at any time.

11. Disclaimers and Limitation of Liability

Service Provided "As Is"

Propaired is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Real Estate Advice

Nothing on Propaired constitutes professional real estate, legal, financial, or investment advice. Property valuations, market data, and AI recommendations are for informational purposes only.

Limitation of Liability

To the maximum extent permitted by applicable law, Propaired's total liability to you for any claim arising from your use of the platform is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold harmless Propaired AI, Inc. and its officers, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising from:

Your violation of these Terms.
Your use of the platform in a manner that violates applicable law.
Your violation of MLS data license terms.
Content you submit to the platform.

13. Modifications and Termination

Modifications to Terms

We may update these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.

Termination by You

You may delete your account at any time from Account Settings. Upon deletion, your data will be permanently removed within 30 days (with the exception of records required for legal compliance).

Termination by Us

We may suspend or terminate your account for:

Violation of these Terms
Violation of MLS license terms
Fraudulent, abusive, or illegal activity
Non-payment of subscription fees (after notice)

Upon termination, your right to use the platform ceases immediately. Sections 4 (Data Portability), 8 (IP), 11 (Disclaimers), 12 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution) survive termination.

14. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of those courts.

15. Dispute Resolution

We prefer to resolve disputes informally. Before filing any legal action, you agree to:

Contact us at legal@propaired.ai with a written description of the dispute.
Allow 30 days for us to attempt resolution.

If informal resolution fails, disputes will be resolved by binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules, with proceedings in Salt Lake City, Utah, except that either party may seek injunctive relief in court for IP violations or MLS license breaches.

Class action waiver: You waive any right to participate in class action lawsuits or class-wide arbitration against Propaired.
